The Fund
Category of Fund License*
A Seychelles private fund is restricted to no more than 50 investors or it cannot advertise to the public. A Seychelles professional fund is restricted to targeting institutional investors and HNWI with a net worth of at least US$1m and minimum investment size is US$100k. A Seychelles public fund is any fund that is not a private fund or professional fund.

Sterling's Services

Fund Administration*
Every licensed Seychelles fund must have either a licensed Seychelles fund administrator (Sterling is so licensed) or an exempt overseas fund administrator recognized as such by the Seychelles Financial Services Authority).
- Sterling to be fund administrator
- We are appropriately licensed in a recognized jurisdiction and would like Sterling to assist with applying for exempt overseas fund administrator status
- Exempt overseas administrator recognized by the FSA has already been arranged
Sterling to arrange/provide the following:
- Director Services (for fund vehicle; mandatory if Sterling providing fund administration))
- Fund Accounting/Portfolio Valuation
- Share Registrar and Transfer Agent (will be provided by Sterling if also acting as fund administrator)
- Audit services (every fund must appoint an auditor approved by the FSA; the auditor can be foreign)
Investment Memorandum*
Please indicate if you desire Sterling to arrange for the drafting of the Offering/Private Placement Memorandum or if you will arrange this through your own lawyers with Sterling just vetting the documents against Seychelles law. Note that where Sterling is being requested to provide fund administration services we must at least vet this document and would expect the drafting party to be a lawyer or other party with previous experience drafting such documents.
About the Fund Participants
Please indicate the names of the parties who will fulfill the following required roles as applicable. Each fund must have at least a custodian which is a licensed bank or other financial institution acceptable to the FSA as well as a licensed fund administrator or exempt overseas administrator approved by the FSA.

Please provide details of licenses held including type, where held and similar. Also provided details of past experience managing investments portfolios/funds including the type of assets and strategies intended for this fund.
Investment Advisor
If the fund will also employ one or more investment advisors, please provide the names of each here or indicate N/A.
Share Registrar and Transfer Agent*
Please note the name of the company that will be providing this service. This is sometimes provided by either the custodian or the fund administrator.
Custodian
Every fund must have a custodian. The custodian may not also be the investment manager or fund administrator. Please provide the name of the proposed custodian if one has been arranged. Otherwise leave blank.
Broker
Please indicate the broker(s) through which the fund intends to trade if applicable and known at this time.
